Terms of Service and End-User License Agreement
Effective July 28, 2026
These terms govern use of the Aldebert Financial Ecosystem, AFE, operated by International Services Inc. By accessing AFE you agree to them. If you are agreeing on behalf of a firm, you confirm you have authority to bind that firm.
1. What AFE is
AFE is a diagnostic platform licensed to professional advisory firms. It takes financial inputs about a business, computes a measurement called The Aldebert Score, and produces a report called The Aldebert Verdict. It also generates a remediation Playbook.
AFE is a measurement instrument. It is not an accounting system, not a bookkeeping service, and not a substitute for professional judgment.
2. License
Subject to these terms and payment of applicable fees, International Services Inc. grants your firm a non-exclusive, non-transferable, revocable license to use AFE for its internal business purposes and to deliver diagnostic work to its own clients, for the term of the subscription.
You may not
- Resell, sublicense, or provide AFE access to another firm
- Share user credentials or sign-in links between people
- Reverse engineer, decompile, or attempt to derive the underlying diagnostic formulas
- Use AFE output to build or train a competing scoring or diagnostic product
- Scrape, bulk export, or systematically extract platform data
- Use AFE unlawfully or to process data you have no right to process
3. Your responsibilities as a Practitioner Firm
This section carries the most weight, because you bring third-party data into the platform.
- Authority. You represent that you have the client authorization necessary to submit their financial data to AFE and to connect their QuickBooks Online company. You are responsible for obtaining it.
- Accuracy of inputs. The diagnostic is arithmetic performed on the figures you provide. Wrong inputs produce a wrong Verdict. We do not audit your inputs.
- Professional judgment. You are the advisor. You are responsible for reviewing every Verdict before delivering it and for the advice you give.
- Sensitive data. Do not upload Social Security numbers, bank or card numbers, individual employee compensation records, or health information.
- Account security. You are responsible for activity under your firm account and for revoking access when staff leave.
- Portal links. Verdict share links grant access to whoever holds them. Distribute them accordingly.
4. Not professional advice
Where AFE output includes narrative written by an automated system, that narrative is explanatory language generated from computed figures. Every number in a Verdict is produced by a deterministic engine, not by a language model. The narrative may still contain errors of emphasis or phrasing, and the reviewing Practitioner is responsible for catching them.
5. Intellectual property
International Services Inc. retains all rights in AFE, including the software, the diagnostic methodology, and the underlying doctrine. The following are proprietary frameworks of International Services Inc. and its principals:
- The Aldebert Score and The Aldebert Verdict
- Return to Owner and the Business Biomarker Index
- Minimum Mandatory Profit, Layer Cake, and the Working Capital Gap
- The Business Biomarkers and their scoring weights
Your data stays yours. You and your clients retain ownership of financial data submitted to AFE. You grant International Services Inc. only the license needed to operate the platform and deliver the service to you.
A Verdict delivered to your client is yours to deliver. The methodology that produced it is not yours to reproduce.
6. Third-party services
AFE integrates with QuickBooks Online and relies on subprocessors including a language model provider, a database host, an application host, and an email provider. These are itemized in the Privacy Policy. We are not responsible for outages, changes, or data loss originating in third-party services, although we will act reasonably to mitigate them.
QuickBooks and Intuit are trademarks of Intuit Inc. AFE is not endorsed by or affiliated with Intuit beyond its use of published APIs.
7. Fees and term
Access is by subscription. Fees, billing period, and seat counts are set out in your order or license agreement. Fees are non-refundable except where required by law. We may change pricing on renewal with reasonable notice.
8. Termination
You may cancel at any time, effective at the end of the current billing period. We may suspend or terminate access for non-payment, breach of these terms, or unlawful use.
On termination your license ends and platform access stops. You may request an export of your engagement data before termination takes effect. Data retention after termination is described in the Privacy Policy.
9. Availability
We aim for high availability but do not guarantee uninterrupted service. AFE may be unavailable for maintenance, third-party outages, or events outside our control. No uptime commitment applies unless stated in a separate written agreement.
10. Disclaimer of warranties
AFE is provided as is and as available. To the fullest extent permitted by law, International Services Inc. disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that AFE will be error-free, that output will be accurate given inaccurate inputs, or that it will achieve any particular business result.
11. Limitation of liability
To the fullest extent permitted by law, International Services Inc. will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, arising from use of AFE.
Total aggregate liability for any claim is limited to the fees you paid for AFE in the twelve months before the event giving rise to the claim.
12. Indemnity
You agree to indemnify and hold International Services Inc. harmless from claims arising out of your use of AFE, including claims that you submitted client data without adequate authorization, claims relating to advice you gave based on AFE output, and claims arising from your breach of these terms.
13. Confidentiality
Each party will protect the other confidential information with at least reasonable care and use it only to perform under these terms. Client financial data in AFE is treated as confidential information of the Practitioner Firm.
14. Governing law
These terms are governed by the laws of the State of Illinois, United States, excluding its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Illinois.
15. Changes to these terms
We may update these terms. Material changes will be communicated to Practitioner Firms directly. Continued use after a change takes effect constitutes acceptance.
16. Entire agreement
These terms, together with the Privacy Policy and any signed order or license agreement, form the entire agreement between the parties. If any provision is unenforceable, the remainder stays in force.
